Online Sales Terms and Conditions

These Terms regulate the online sales of Smart Studio, S.L.U. (hereinafter, “Smart Studio”) to consumers and businesses, for digital products and services, including software development, AI automation, and the Sacred Melodies service. Electronic contracting and activity in this digital space are governed by Law 20/2014 on electronic contracting in Andorra.

Smart Studio visibly and permanently displays its identity, contact information, NRT/tax identification, and other required data on this website.

By making a purchase, you declare that you are of legal age and have the legal capacity to enter into contracts.

Before completing the purchase, we will inform you, clearly and free of charge, about: steps to contract, technical means to correct errors, contract language, order filing/confirmation, and applicable conditions. After the purchase, you will receive an accessible and storable confirmation on a durable medium.

The contract is perfected upon your express acceptance of the offer and payment. Contracts concluded by electronic means produce all their legal effects, provided there is valid consent. The electronic signature/consent is valid in accordance with Law 35/2014 on electronic trust services.

Prices are shown in euros (€) and include, unless otherwise indicated, the IGI (Andorran indirect tax). The current general rate of the IGI is 4.5%, with other rates applying according to the law. The invoice is issued in electronic format.

We accept the payment methods indicated on the checkout page. Payments may be managed through secure third-party gateways.

• Digital/AI/Software Services: the start and delivery schedule are communicated by email or in the client area.
• Sacred Melodies: digital delivery (link/file) within the estimated timeframe communicated upon confirmation of your briefing.

Unless otherwise agreed, we deliver within a maximum of 30 calendar days from acceptance. If there is no availability, we will inform you and refund the amount paid within 30 days.

• Sacred Melodies (Custom): you can cancel before we begin the composition; 100% refund. Once the creative work has started (as confirmed by email), there is no refund as it is a personalized work (legal exception to withdrawal).
• Development/Automation/Consulting: what is agreed in the proposal/statement of work (SOW) applies. Delivered and approved milestones are non-refundable.

• Sacred Melodies (Personal Use): you receive a non-exclusive, non-transferable license for personal/therapeutic non-commercial use.
• Commercial Use (classes, networks, monetization, apps, etc.): requires a specific written license.
• Software / AI: unless otherwise agreed, we grant you a license for use as per the proposal; Smart Studio retains the intellectual property of frameworks, libraries, templates, and reusable internal tools.

Services are provided with due professional diligence.

• For software/automations, the corrective support period and scope are specified in the proposal.
• For custom sound pieces, we guarantee the delivery and technical conformity of the file (repair/replacement in case of delivery defect).

We are not liable for: (i) improper use; (ii) third-party integrations beyond Smart Studio's control; (iii) unavailability of external providers; (iv) data loss due to lack of customer backups. In no event shall there be liability for indirect damages, loss of profit, or loss of opportunity, except in cases of willful misconduct or gross negligence.

Sacred Melodies are complementary and do not replace medical or psychological diagnosis or treatment. Use headphones and safe volume levels. If you have specific medical conditions, consult a healthcare professional.

We process your data in accordance with Law 29/2021 on personal data protection and current regulations. You will find details in our Privacy Policy and can exercise your rights (access, rectification, erasure, etc.).

The use of cookies and similar technologies is detailed in our Cookie Policy in accordance with the APDA (Andorra) Guidelines, including the 2023/2024 updates.

All content, trademarks, and distinctive signs of Smart Studio are protected. Their use without authorization is not permitted.

We will not be liable for delays or failures due to causes beyond our reasonable control (e.g., network failures, disasters, labor disputes, government acts).

If any clause is null or unenforceable, the rest will remain in force.

We may update these Terms. Modifications will be published with an effective date; previous purchases maintain the conditions accepted at the time.

These Terms are governed by Andorran law. Any dispute will be submitted to the competent courts and tribunals of the Principality of Andorra (except for mandatory consumer regulations). Electronic contracting and this site comply with Law 20/2014.
